Maybe they share the same processor chip, but apart from that, they couldn't be more different: LED vs. VFD; different keyboard layout; built-in NC cells vs. replaceable AA cells; Prvileg misses the "Grad" switch, etc. (see here: http://www.gschwaninger.de/hobbies/hp/omron/omron12sr.jpg and http://www.gschwaninger.de/hobbies/hp/privileg/privilegsr54nc.jpg )
Unfortunately I will probably not be able to compare them at home (I already have an Omron 12SR) since you posted the eBay item-number here and the price is already beyond my limit ;-)

NB: The Omron 12 is a really nice calculator (a little too big and heavy maybe), very much like the hp-45.
